(hereinafter "Kaino" or "Provider")

These Terms of Use govern the use of the Aegis service — consisting of the Chrome extension, the associated API at aegis.kaino.io and the website demo ("Try It") — by the user (hereinafter referred to as "User").

In addition, the Aegis Privacy Policy and the Aegis Data Processing Agreement (DPA) apply. In case of contradictions between these Terms of Use and the DPA, the DPA takes precedence with regard to the protection of personal data.

§ 1 Service Description

1.1 Purpose

Aegis detects and anonymizes personal data in documents before they are transmitted to AI chat platforms (such as ChatGPT, Claude, or Gemini). Aegis exclusively performs the anonymization — the transmission of the anonymized data to the respective platform is carried out by the user.

1.2 Plans

Aegis is offered in the following plans:

The maximum file size per document depends on the selected plan and can be viewed on the Aegis product page.

1.3 Document Limits and Seats

The PLUS and PRO plans are purchased as seat licenses. Each seat includes a monthly document limit. The applicable limits can be viewed on the Aegis product page. If the limit is reached, further processing will be rejected until the next billing period. No automatic recalculation will occur. The number of seats and plan changes can be adjusted at any time via the Stripe customer portal.

1.4 Target Platform

Aegis is designed exclusively as a Chrome extension for Google Chrome (version 91 and higher) and supports the AI chat platforms ChatGPT (chatgpt.com), Claude (claude.ai), and Gemini (gemini.google.com).

§ 2 Conclusion of Contract and Account Opening

2.1 FREE Plan

The installation of the Chrome extension and its use establish a free-of-charge user relationship. No registration is required for the FREE plan.

2.2 Paid Plans (PLUS, PRO)

The contract for paid plans is concluded by:

Purchasing a subscription via the Aegis product page or the subscription link integrated into the extension
Payment processing via Stripe (see § 6)
Receiving a product key by email
Entering the product key in the extension

By completing the subscription, the User accepts these Terms of Use, the Privacy Policy, and the DPA.

2.3 Website Demo ("Try It")

Use of the website demo establishes a free-of-charge user relationship for the duration of the respective processing. By uploading a document, the visitor accepts these Terms of Use, the Privacy Policy, and the DPA.

2.4 ENTERPRISE

ENTERPRISE agreements are concluded individually. The separately agreed terms apply. These Terms of Use apply additionally, unless otherwise agreed.

§ 3 Right of Withdrawal and Return Policy

3.1 Statutory Right of Withdrawal (Consumers)

Consumers within the meaning of § 1 KSchG (Austrian Consumer Protection Act) have the right to withdraw from the contract within 14 days from the conclusion of the contract without stating any reasons (§ 11 FAGG - Austrian Distance and Off-Premises Contracts Act). An informal notification (e.g., by email to aegis@kaino.io) is sufficient for exercising this right.

3.2 Voluntary Return Policy (Businesses)

Kaino also grants businesses a voluntary right of return under the same conditions as the statutory right of withdrawal: The contract can be terminated within 14 days from the conclusion of the contract without stating any reasons.

3.3 Pro-rata Billing

If the service was already used before withdrawal or return, the period of actual use will be calculated pro-rata. The User only pays for the days the subscription was active. The remaining amount will be refunded within 14 days via the same payment method (Stripe).

Example: For a monthly plan and withdrawal after 13 days, 13/30 of the monthly price will be charged; the remainder will be refunded.

3.4 Exercise

§ 4 Trial Period

4.1 Scope

Kaino offers a free trial period for the PLUS and PRO plans. The trial period ends after 7 days or after processing 20 documents — whichever occurs first.

4.2 Features

During the trial period, the full range of features of the selected plan is available.

4.3 Transition to Subscription

After the trial period expires, the first paid billing period automatically begins, unless the User cancels the subscription before the trial period ends. The trial period can be canceled at any time via the Stripe customer portal or by email to aegis@kaino.io.

4.4 Uniqueness

The trial period is granted once per user (email address) and plan.

§ 5 Rights and Obligations of Use

5.1 Right of Use

Kaino grants the User a non-exclusive, non-transferable, revocable right to use Aegis for its intended purpose for the duration of the contractual relationship.

5.2 Intended Use

Intended use includes the anonymization of personal data in documents prior to transmission to supported AI chat platforms. Use for any other purpose is not permitted.

5.3 Prohibited Use

The User shall particularly refrain from:

decompiling, reverse engineering, or modifying the extension, unless permitted by mandatory law (§ 40d öUrhG - Austrian Copyright Act);
attempting to circumvent technical protection measures, access controls, or usage limitations;
using automated scripts or bots for mass processing via the API;
reselling, sublicensing, or transferring the product key to third parties;
processing content that violates applicable law;
any use that impairs the operation of the service or infrastructure.

5.4 User's Responsibility

The User is solely responsible for:

the legality of the processed documents and their content;
compliance with the GDPR when processing personal data of third parties (see Privacy Policy, Section 5);
the secure storage of their product key;
ensuring that an appropriate legal basis exists for the transmission of documents containing personal data of third parties.

§ 6 Prices and Payment

6.1 Prices

Current prices can be viewed on the Aegis product page at Aegis product page. All prices include statutory VAT, unless otherwise stated.

6.2 Billing Period

Subscriptions are billed either monthly or annually. Billing occurs in advance at the beginning of each billing period.

6.3 Payment Processing

Payment processing is handled by Stripe Payments Europe, Ltd. (Dublin, Ireland) as an independent controller. Kaino does not have access to complete payment data (e.g., credit card numbers). The Stripe Privacy Policy and Stripe Terms of Service apply to the processing of payment data by Stripe.

6.4 Volume Discounts

When purchasing multiple licenses (seats), Kaino grants tiered volume discounts according to the price list published on the product page. The discount tiers are automatically applied during billing via Stripe.

6.5 Price Changes

Kaino reserves the right to change prices. Price changes will be communicated to the User by email at least 30 days before they take effect and will apply from the next billing period. Within the notification period, the User may cancel the subscription at the end of the current billing period.

6.6 Payment Default

In case of payment default, Kaino may block access to the paid plan after prior reminder. The use of the FREE plan remains unaffected.

§ 7 Term and Termination

7.1 FREE Plan

The user relationship for the FREE plan is indefinite and can be terminated by the User at any time by uninstalling the extension. Kaino may discontinue the FREE plan with 30 days' notice.

7.2 Paid Plans

Paid subscriptions automatically renew for the respective billing period (month or year), unless they are canceled before the end of the current period.

Termination is possible via:

the Stripe customer portal (accessible via the extension or the Aegis product page)
Email to aegis@kaino.io

Termination becomes effective at the end of the current billing period. Already paid contributions will not be refunded proportionally.

7.3 Extraordinary Termination

The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular if:

the User materially breaches these Terms of Use and fails to remedy the breach within 14 days despite a warning;
the User misuses the extension (§ 5.3);
Kaino makes significant changes to sub-processors against which the User has timely objected (pursuant to DPA § 6.2).

7.4 Consequences of Termination

Upon termination of the contractual relationship:

access to the paid plan will be deactivated;
the User may continue to use the FREE plan;
customer master data at Kaino will be deleted within 30 days (pursuant to Privacy Policy, Section 9);
locally stored data (mapping tables, settings) will be retained until uninstallation.

§ 8 Availability

8.1 API Availability

Kaino endeavors to provide the API at aegis.kaino.io with high availability. A specific availability is not guaranteed. In particular, planned maintenance work, infrastructure disruptions at third-party providers, and force majeure are excluded from any availability guarantee.

8.2 FREE Plan

The FREE plan is independent of API availability, as processing takes place entirely locally in the browser. Functionality depends on compatibility with the installed browser and the supported AI chat platforms.

8.3 Changes to the Service

Kaino reserves the right to expand, modify, or discontinue features of Aegis. Significant restrictions of features in paid plans will be communicated to the User at least 30 days in advance and entitle the User to extraordinary termination at the time of effectiveness.

§ 9 Warranty and Limitation of Liability

9.1 No Guarantee of Completeness

PII detection by Aegis is performed according to the state of the art and using rule-based methods (FREE) or AI-powered methods (PLUS/PRO/ENTERPRISE). Complete detection and anonymization of all personal data is not guaranteed. Aegis is a tool for improving data protection — the User remains responsible for verifying the results and complying with their data protection obligations.

9.2 Provision "As Is"

The FREE plan is provided without warranty ("as is"). For paid plans, the statutory warranty claims under Austrian law (§§ 922 et seq. ABGB - Austrian General Civil Code) apply.

9.3 Limitation of Liability

Kaino's liability is limited as follows, to the extent permitted by law:

Exclusion for slight negligence: Kaino is not liable for damages caused by slight negligence, unless it concerns a breach of essential contractual obligations (cardinal obligations) or damages to life, body, or health.
Limitation for essential contractual obligations: In case of breach of essential contractual obligations, liability is limited to the foreseeable damage typical for the contract.
Monetary limitation: Kaino's total liability arising from a contractual relationship is limited to the sum of fees paid by the User in the 12 months prior to the damaging event — but at least 100 Euros.
No liability for:
- unrecognized or incompletely anonymized personal data;
- damages resulting from the use of the FREE plan (free-of-charge user relationship);
- data loss that the User could have prevented through their own backup measures;
- indirect damages, lost profits, or consequential damages, unless Kaino acted with intent or gross negligence;
- Disruptions or changes to supported AI chat platforms, Chrome, or third-party services that impair the functionality of Aegis;
- actions or omissions of the User, in particular uploading illegal content.

9.4 Liability for Data Breaches

Liability for data breaches is governed by Art. 82 GDPR. The foregoing limitation of liability does not apply to claims under Art. 82 GDPR.

9.5 Indemnification

The User shall indemnify Kaino against claims by third parties resulting from unlawful use of Aegis by the User, including violations of these Terms of Use or the processing of personal data without a sufficient legal basis. This does not apply if the User is not responsible for the legal violation.

§ 10 Intellectual Property

10.1 Provider's Rights

All rights to Aegis — including the software, user interface, documentation, trademarks, and logos — belong to Kaino or its licensors. The granting of the right of use (§ 5.1) does not effect a transfer of copyrights or other intellectual property rights.

10.2 Third-Party Licenses

Aegis uses open-source libraries and publicly available data sources. The respective licenses and attributions are documented in the acknowledgments within the extension.

10.3 User Data

The User retains all rights to the documents processed by them and their content. Kaino does not acquire any rights to the document content through processing.

§ 11 Data Protection

The processing of personal data by Aegis is comprehensively described in the Privacy Policy. For AI-powered processing in the PLUS, PRO, and ENTERPRISE plans, as well as for the website demo, the Data Processing Agreement (DPA) pursuant to Art. 28 GDPR automatically comes into effect upon conclusion of the subscription or use of the demo.

The User acknowledges that:

no data is transmitted to Kaino in the FREE plan;
in the PLUS, PRO, and ENTERPRISE plans, document content is transmitted to the Kaino API for processing (encrypted, HTTPS/TLS, EU infrastructure);
document content is not stored by Kaino after processing;
no document content is used for training or improving AI models.

§ 12 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations to the extent that such failure or delay is caused by circumstances beyond its reasonable control (force majeure). This includes, in particular, natural disasters, pandemics, war, government orders, failure of telecommunications networks, cyberattacks on infrastructure providers, and disruptions to third-party services (AI chat platforms, Stripe, cloud infrastructure). The user's payment obligation remains unaffected by this.

§ 13 Changes to these Terms of Use

Kaino reserves the right to change these Terms of Use. Material changes will be communicated to the User by email at least 30 days before they take effect and published on this page.

If the User does not object within 30 days of notification, the amended terms are deemed accepted. In the event of an objection, the User has the right to terminate the subscription at the time the change takes effect. This legal consequence will be indicated in the change notification.

§ 14 Applicable Law and Jurisdiction

14.1 Applicable Law

These Terms of Use and the entire contractual relationship are governed by Austrian law, excluding the conflict of laws provisions of international private law and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

14.2 Jurisdiction

For disputes arising from or in connection with these Terms of Use, Innsbruck, Austria is agreed as the place of jurisdiction, to the extent permitted by law. Mandatory places of jurisdiction, in particular the consumer jurisdiction (Art. 18 EuGVVO; § 14 KSchG), remain unaffected.

14.3 Consumer Notice

Consumers within the meaning of § 1 KSchG are entitled to the mandatory protective provisions of the Consumer Protection Act (KSchG). Insofar as provisions of these Terms of Use conflict with mandatory consumer protection regulations, these regulations shall prevail.

§ 15 Final Provisions

15.1 Entire Agreement

These Terms of Use, together with the Privacy Policy and the DPA, constitute the entire agreement between the parties regarding the use of Aegis.

15.2 Written Form

Amendments and supplements to these Terms of Use require text form. This also applies to the waiver of this written form clause.

15.3 Assignment

The User may not assign rights and obligations under this contractual relationship to third parties without Kaino's prior written consent.

15.4 Severability Clause

Should any provision of these Terms of Use be invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose.
